By accessing or using the African Vulture SAFE Online Store at https://av-safe-store.mydonor360.com (the “Site”) and any related pages, mobile applications, or services (collectively, the “Services”), you agree to be bound by these Terms of Service (this “Agreement”). If you do not agree, do not use the Site or Services.

1) Who We Are & How This Works

The African Vulture SAFE Online Store (the “AV SAFE Store”) is an e‑commerce experience designed to support the African Vulture SAFE conservation initiative (“AV SAFE,” “we,” “us,” or “our”). The Store is powered by Donor360, Inc. d/b/a “Donor Three Sixty” and “Donor360” (“Donor360”), a California corporation that provides the underlying commerce platform, payment processing integrations, and fulfillment services for applicable items.

• AV SAFE manages content, campaigns, and messaging for the Store.
• Donor360 operates the platform and certain commercial/operational functions. Donor360 is not a charity.

When these Terms reference “you” or “your,” they refer to visitors, purchasers, donors, and account holders.

2) Acceptance & Updates

By creating an account or using the Services, you confirm that you have read and accept this Agreement. We may update these Terms from time to time. Changes are effective when posted. Your continued use after changes post constitutes acceptance. The current version will show a “Last Updated” date above.

3) Eligibility; Accounts; Security

• You must be at least 13 years old to use the Services.
• Some features require an account. You agree to keep your registration information (“Account Data”) accurate and current and to protect your password. You are responsible for all activity under your account.
• You consent to our collection and use of Account Data as described in our Privacy Policy (see §15).

4) Store Offerings: Merchandise, Donations & Symbolic Adoptions

The Store may offer: - Merchandise (e.g., apparel, plush, gifts, educational items); - Donations (one-time or recurring) to support AV SAFE initiatives; and - Symbolic adoptions or similar conservation-themed bundles.

Unless we specifically state otherwise in writing, purchases are not tax‑deductible. Certain donations may be eligible for a U.S. charitable deduction only if the donation is made to, and receipted by, an eligible charitable entity (e.g., an AZA-accredited partner institution or a 501(c)(3) fiscal sponsor) and only to the extent permitted by law, net of any benefits received. We do not provide tax advice—please consult your tax advisor.

Platform note: Donor360 facilitates transactions as a platform and payment integrator but is not a party to your donation for tax‑deductibility purposes and does not itself provide charitable receipts. AV SAFE and/or the receiving charitable entity is responsible for any donation receipts.

5) Pricing, Fees & How Proceeds Support Conservation

• Prices are listed in U.S. Dollars (USD) and are subject to change without notice.
• Unless expressly stated on a product or campaign page, a 30% of each purchase and 100% of each donation (less standard payment/processing fees) supports AV SAFE conservation priorities and/or our accredited partner institutions.
• Payment processing and platform fees apply and may be deducted from your transaction. We may display impact statements (e.g., “$X supports…”). These are informational and not a guarantee of restricted use.

6) Payments

We accept the payment methods supported by the platform from time to time (e.g., major cards, PayPal). By submitting a payment, you represent that you are authorized to use the selected method and that sufficient funds/credit are available. You authorize us and Donor360 (and their payment partners) to charge your method for the full amount of your transaction, including taxes, shipping, and applicable fees.

Third‑party processors. Payments are processed by Donor360’s partners (currently including Shopify Payments and PayPal, Inc.). Your use of those services may be subject to their own terms and privacy policies.

7) Shipping, Fulfillment & Title

• We or our fulfillment partners will ship merchandise to the address you provide. Shipping options, costs, and timelines are shown at checkout or on the product page.
• Risk of loss and title for merchandise pass to you upon delivery by the carrier. International buyers are responsible for customs duties and import fees.

8) Refunds, Returns & Cancellations

• Merchandise: We aim for quality. If an item arrives damaged or incorrect, contact us within 30 days of delivery at [returns email for AV SAFE: insert] with your order number and photos (if applicable). We’ll repair, replace, or refund per our then‑current policy. Items must be unused and in original condition/packaging unless defective.
• Donations & symbolic adoptions: Donations are generally non‑refundable. In limited circumstances (e.g., processing error), we may, at our sole discretion, issue a refund to the original payment method. Symbolic adoption kits follow the merchandise policy for physical components; the donation portion is non‑refundable.

Donor360 or its payment partners may, in their discretion, issue refunds in compliance, fraud, or operational scenarios. We are not responsible for fees or losses arising from such refunds.

9) Mobile Services & Communications

Using the Services on a mobile device may incur carrier data/SMS charges. By providing your mobile number or email, you consent to receive transactional messages (e.g., order updates). We will obtain any additional consent required by law for marketing communications, and you can opt‑out at any time.

10) Acceptable Use

You agree not to: - Access accounts or data you do not own/are not authorized to access; - Interfere with the Site’s security or operation (e.g., malware, scraping at scale); - Post unlawful, infringing, harmful, or misleading content; - Use the Services to compete with or reverse‑engineer the platform; or - Circumvent payment processes or solicit off‑platform payments for Store offerings.

We may remove content, suspend accounts, or block access for violations and will cooperate with law enforcement as legally required.

11) Intellectual Property; Content You Submit

• The Site and its content (text, images, logos, video, designs, and software) are owned by AV SAFE, Donor360, and/or their licensors and are protected by IP laws. Except as expressly allowed, you may not copy, modify, distribute, or create derivative works from the Site or its content.
• If you submit reviews, images, or other content (“User Content”), you grant AV SAFE and Donor360 a non‑exclusive, worldwide, royalty‑free license to use, host, reproduce, display, and distribute such content in connection with the Services and AV SAFE’s mission. You represent you have the rights to grant this license and that your User Content complies with these Terms.

12) Data, Privacy & Children

• We collect and use personal data in accordance with our Privacy Policy (see §15). Where permitted, you may opt‑in to share your contact information with AV SAFE and partner institutions for conservation updates and fundraising. You may opt‑out at any time.
• The Services are not directed to children under 13. If you believe a child under 13 has provided personal data, please contact us (see §21). We will delete such data as required by law.

13) Third‑Party Sites & Tools

Links, widgets, or tools from third parties may be provided for convenience. We do not control and are not responsible for third‑party sites, services, or content. Your use of them is at your own risk and may be governed by separate terms.

14) Security; PCI

Donor360 maintains Payment Card Industry Data Security Standard (PCI DSS) compliance for cardholder data it processes. No method of transmission is 100% secure, and you use the Services at your own risk.

15) Privacy Policy

Your use of the Services is subject to our Privacy Policy: [link to AV SAFE Store Privacy Policy]. Donor360’s privacy policy may also apply to the extent Donor360 processes your data as the platform provider: https://www.donorthreesixty.com/privacy (or successor URL).

16) Copyright; DMCA

If you believe content on the Site infringes your copyright, please send a notice that complies with 17 U.S.C. §512(c) to Donor360’s DMCA Agent:

17) Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, AV SAFE AND DONOR360 DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT GUARANTEE THAT THE SITE WILL BE SECURE, ERROR‑FREE, OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED.

18) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AV SAFE, DONOR360, OR THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

IF WE ARE FOUND LIABLE NOTWITHSTANDING THE ABOVE, THE TOTAL AGGREGATE LIABILITY OF AV SAFE AND DONOR360 FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID THROUGH THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

19) Indemnification

You agree to defend, indemnify, and hold harmless AV SAFE, Donor360, and their affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt (including reasonable attorneys’ fees) arising from: (a) your use of the Services; (b) your violation of this Agreement; or (c) your User Content.

20) Termination; Suspension

We may suspend or terminate your access to the Services at any time, with or without notice, for any or no reason, including suspected fraud, abuse, or unlawful conduct. Upon termination, your right to use the Services ceases immediately, and we may delete your account and data as permitted by law and our policies.

22) Governing Law; Venue

This Agreement is governed by the laws of the State of California, without regard to conflict‑of‑law rules. You consent to the exclusive jurisdiction and venue of the state or federal courts located in Alameda County, California for any dispute arising from or relating to this Agreement or the Services.

23) International Use

The Services may be accessible worldwide, but we make no representation that they are appropriate or available outside the United States. If you access the Services from other locations, you do so on your own initiative and are responsible for compliance with local laws.

24) Linking & Framing

You may link to the Site’s homepage in a fair and legal manner that does not imply endorsement. You may not frame the Site or link in a way that misleads or damages our reputation. We may withdraw linking permission at any time.

25) Force Majeure

Neither AV SAFE nor Donor360 will be liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, terrorism, labor disputes, internet or utility failures, or acts of government.

26) Relationship of the Parties

Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship between you and AV SAFE or Donor360.

27) Miscellaneous

• Entire Agreement. This Agreement (plus any policies referenced, including the Privacy Policy) is the entire agreement between you and us regarding the Services.
• Severability. If any provision is found unenforceable, the remainder will remain in effect.
• No Waiver. A failure to enforce a provision is not a waiver of the right to do so later.
• Assignment. You may not assign this Agreement without our prior written consent. We may assign it to an affiliate or in connection with a merger, acquisition, or sale of assets.
• Changes to Services. We may add, remove, or modify features or offerings at any time.

28) Feedback

We welcome feedback at [feedback email for AV SAFE: insert]. If you choose to provide suggestions or ideas, you agree that we may use them without restriction or compensation. 
 

Platform Provider Disclosures (Donor360)

Certain platform‑specific terms from Donor360 may also apply to your use of the Store, including payment processing and compliance requirements. Where applicable, those terms are incorporated by reference and control in the event of a conflict with respect to platform operations.
